TERMS OF USE
Welcome to www.naqqe.com, a platform owned and operated by Naqqe Technologies LLC, located at 651 N Broad St Ste 201, Middletown, DE 19709, USA (support@naqqe.com). By accessing or using our platform (referred to as the “Platform”), you agree to abide by these Terms of Use (the “User Agreement”). Please read this User Agreement carefully. If you disagree with any part of these Terms, you must cease using the Platform immediately.
IMPORTANT NOTICE: THIS AGREEMENT INCLUDES A BINDING ARBITRATION CLAUSE AND A CLASS ACTION WAIVER (SEE SECTION 9).
1. User Eligibility and Age Restrictions
Eligibility: The Platform is intended for individuals aged 18 years or older. By using the Platform, you confirm that you meet this age requirement. Naqqe Technologies LLC disclaims liability for unauthorized use by users under 18. Accounts of minors may be disabled if discovered, unless used with appropriate parental or guardian supervision.
2. Payment and Transactions
Payment Methods: Payments on the Platform are processed through Visa and MasterCard debit or credit cards in USD. All session fees must be paid upfront to confirm a booking.
Refund Policy: Payments made are non-refundable to the original payment method. If a refund is authorized, it will be credited to the user’s Naqqe wallet, which may be used for future bookings. Refunds in wallet credits are non-transferrable and cannot be exchanged for cash or third-party services.
3. Compliance with Applicable Laws
Users agree to comply with all applicable federal, state, and local laws, as well as international laws governing the use of this Platform. Naqqe Technologies LLC reserves the right to amend or terminate user access if any laws or these Terms are violated.
4. Providers and Provider Services
Providers: The Platform connects users with independent Providers, including licensed therapists and coaches. Providers are not employees or agents of Naqqe Technologies LLC but are independent contractors responsible for their services.
User Responsibility: Users are responsible for selecting a Provider that meets their needs. Naqqe Technologies LLC does not guarantee the suitability, qualifications, or outcomes provided by any specific Provider.
5. Platform Use and Limitations
Platform Limitations: The Platform provides video consultations and text-based support only. It is not a substitute for in-person consultations or emergency medical services.
Emergency Disclaimer: Naqqe Technologies LLC is not intended for emergency intervention. If you are in an emergency situation, please contact local emergency services immediately (e.g., 911).
6. Session Booking and Wallet Refunds
Session Fees: All sessions must be booked with a non-refundable, upfront fee, which may vary depending on the Provider’s qualifications and experience.
Wallet Refunds: Refunds are issued as credits to the user’s Naqqe wallet and may only be used for future services on the Platform. These credits are non-transferable and cannot be redeemed for cash.
7. Intellectual Property and Third-Party Content
Intellectual Property: All content on the Platform, including but not limited to text, images, software, and logos, is protected under applicable intellectual property laws and is owned or licensed by Naqqe Technologies LLC. Unauthorized use, reproduction, or distribution of content is prohibited.
Third-Party Content: The Platform may contain content, links, or advertisements from third parties. Naqqe Technologies LLC does not endorse, monitor, or control third-party content and is not liable for it. Users should independently review third-party policies before engaging with third-party services.
8. Disclaimer of Warranty and Limitation of Liability
Disclaimer of Warranties: The Platform and its services are provided “as is” without any express or implied warranties. Naqqe Technologies LLC disclaims all implied warranties, including fitness for a particular purpose, non-infringement, and the accuracy of information provided by Providers.
Limitation of Liability: Naqqe Technologies LLC shall not be liable for any incidental, consequential, or indirect damages arising from the use of the Platform. The maximum liability of Naqqe Technologies LLC in connection with this Agreement shall not exceed the total amount paid by the user to Naqqe in the 12 months preceding the claim.
9. Arbitration Agreement and Class Action Waiver
Binding Arbitration: Any disputes arising from or related to this Agreement will be resolved through binding arbitration in Delaware, governed by the laws of the State of Delaware. Both parties waive the right to a trial by jury and the right to participate in class or representative actions.
Opt-Out Option: Users may opt out of the arbitration agreement within 30 days of first accessing the Platform by sending written notice to support@naqqe.com.
10. Modifications, Termination, and Disruptions
Platform Changes: Naqqe Technologies LLC reserves the right to modify, suspend, or discontinue the Platform at any time without notice. Access to the Platform may be interrupted by factors beyond our control, and Naqqe does not guarantee uninterrupted service.
Account Termination: Naqqe Technologies LLC may terminate any user account without notice if the user violates these Terms or engages in conduct that may harm the Platform’s reputation or operation.
11. Export Controls and Sanctions
Naqqe Technologies LLC complies with U.S. export control laws. Users agree not to access the Platform from countries or individuals subject to U.S. sanctions (e.g., OFAC restrictions).
12. Notices
Naqqe Technologies LLC may send notices regarding this Agreement to the user’s registered email address. Users may contact us at support@naqqe.com for any inquiries related to this Agreement.
13. Indemnification
Users agree to indemnify and hold Naqqe Technologies LLC harmless from any claims, losses, liabilities, or expenses (including attorney fees) arising from their use of the Platform, violation of this Agreement, or infringement of third-party rights. This obligation survives the termination of the Agreement.
